Cesar Guillermo Meraz Gutierrez

El Licenciado César Guillermo Meraz Gutiérrez es un abogado trilingüe admitido para ejercer en México (2015) y Nueva York (2019), con admisión pendiente en Texas (octubre 2023). Obtuvo la licenciatura en derecho por el Tecnológico de Monterrey (ITESM), su Maestría en Derecho (LL.M.) de la Facultad de Derecho de la Universidad de Nueva York (NYU School of Law) y una Certificación Profesional Avanzada en Derecho y Negocios de la Escuela Stern de Negocios de la Universidad de Nueva York (NYU Stern School of Business).

La trayectoria profesional de Meraz incluye roles significativos en Carbino Legal, donde actualmente es socio, y UnitedLex Corp., donde sirvió como Asesor Legal Senior. Tiene una amplia experiencia transaccional corporativa, en planificación fiscal, litigios, reestructuración corporativa, transacciones comerciales, prevención de lavado de dinero y operaciones de inversión.

Su carrera judicial incluye experiencia en la Corte Suprema de Nueva York y en el Tribunal Federal de Justicia Administrativa. Su papel incluyó el análisis de casos y la proyección de sentencias bajo legislación Estadounidense y Mexicana.

La experiencia adicional de Meraz incluye la representación pro-bono en litigios internacionales ante la CIDH, y membresías activas en la Asociación de Estudiantes de Derecho Latinos (LaLSA)y el Equipo de Rugby Stern. También cuenta una certificación AML de la Unidad de Inteligencia Financiera (UIF) en México y se desempeñó como coach en la Universidad Panamericana en el México Moot de la Cámara de Comercio Internacional (ICC).

Su educación en derecho internacional, incluye estudios en Madrid, París y Nueva York, y es miembro de la Comisión de Derecho Corporativo,  Jóvenes Abogados y Derecho Empresarial de la NYSBA, y de la Barra Mexicana de Abogados, Capítulo Nuevo León.

Counseled individuals and corporations operating in a range of sectors, including energy, IT, food, construction, transportation, and manufacturing. Matters included tax planning and litigation, M&A, corporate restructures, commercial transactions, AML, and investment operations concerning real estate and business ventures.

Provided legal counsel to the seventh largest pharmaceutical on US corporate and transactional matters, including the negotiation of high-complexity agreements, SLA compliance with company policies and counseling business stakeholders. Facilitated a range of agreements, such as SaaS, R&D, MSA, licensing, privacy, outsourcing, joint technology development, and procurement.

Analyzed case files and drafted court decisions based on case law and state statutes involving commercial, contractual, tort, civil, and real estate claims. Conducted research concerning relevant property and tort law to determine equitable relief used for court decisions.

Matters included negotiations and closings of M&A deals, corporate reorganizations, international tax planning, wealth management, and federal tax controversies.

Corporate/Transactional: 

• Conducted research and drafted memoranda on M&A and corporate reorganization deals, including the seller’s representation in connection to the cross-border USD$10mm acquisition of a Mexican Group by a German multinational.
• Provided advice in split-up strategy involving the USD $13.5bn corporate reorganization of the second largest Coca-Cola bottler in Latin America driving business expansion into Mexico and U.S. markets. 

Tax Planning, Wealth Management & Tax Controversy:

• Analyzed and implemented domestic & international legal structures for investment operations and avoidance of tax contingencies.
• Implemented tax regularizations for HNW individuals in USD $15mm tax modeling through trust, estate and succession planning.
• Represented clients before Mexican tax authorities in multi-million tax audits in all stages of litigation.

Drafted judgments relating to tax assessments against corporations and individuals involving compliance of federal administrative & tax duties, including those related to FIT, VAT, excise tax, international trade, social security, penalties, and interest.
