Purpose of the Position:


Lead the Legal support and advisory for ENGIE GEMS (Global Energy Management and Sales) Gas and Power activities in Mexico (portfolio of ~1.

Responsabilities and Job Functions:


Organization and reporting lines:

As Legal Senior Manager Global Energy Management & Sales, you will have a double reporting line to the Legal Director of ENGIE Mexico and the Managing Director of GEMS Mexico ("Global Energy Management & Sales", or "GEMS").
-
While being fully part of the Legal team at country level, you will be dedicated to leading the legal support and advisory for Energy Management and Sales activities. In this capacity, you will also have a dotted reporting line, not hierarchical, to the GEMS Chief Legal Officer/Head of Legal & Regulation.

You will be able to rely on the existing country Legal structure and resources in the conduct of your role.

Contract Management & Negotiation:

-
Steer the legal support and advisory for all contractual documents of the GEMS Mexico activity:

o Purchase and sale of physical commodities (natural gas, biomethane, electricity), associated products (capacity certificates, clean energy certificates, guarantees of origin ), and related services (gas transport and distribution services, interconnection agreements,)

o Purchase and sale of financial derivatives (hedging instruments)

o Contracts with market participants (transmission system operators, trading platforms, exchanges)

o Credit management documentation (e.g. netting agreements, credit support annexes, letters of credit and guarantees) and any ancillary agreements

o Bespoke energy and risk management services contracts

o Commercial agreements with suppliers and clients (NDAs, MOUs, LOIs)

o Procurement contracts (other than commodities)

o Internal ENGIE intercompany contracts and agreements

o External partnerships agreements, brokerage contracts,

o Agreements and contracts related to M&A activities.

Act as a strong and close partner to the business, enabling reaching business objectives, in a timely manner, while ensuring that key risks are being adequately identified and mitigated:

o Ensure the strict compliance of all contractual documents with relevant ENGIE policies (Ethics, Compliance, Credit,etc).

Legal and practice notes

Liaise with and draft legal notes for departments across GEMS

Develop practice notes and assist with policy and guidelines formulation

Commercial disputes:

-
Provide legal support in relation to event driven issues such as events of default, covenant breaches, waivers, trustee, inter-creditor issues, acceleration, and enforcement, reservation of rights while considering and advising on the impact on the company's financial position.

Steer the legal strategy in case of commercial / contractual disputes (litigations, arbitration,), considering all factors at stake (financial impacts, probability of success, duration of litigation processes, reputational impacts,), and favoring (when relevant/possible) commercial agreements over lengthy/complex legal processes.

Protection against changes in regulation:

Closely monitor the evolution of the regulatory context and identify changes in regulation that could impact Energy Management and Sales activities.

Advise on and execute the implementation of the reforms of commercial, financial or energy market regulation in GEMS products and services

Address legal and regulatory developments relating to energy commodities, provide training on topical issues to GEM colleagues and attend industry forums and round-tables

When necessary, design, propose and implement the relevant legal protection strategies.
