How will you make an impact? (Objective)

The Legal Entity Manager will serve as the legal expert on corporate matters, executing compliance and management for all legal entities in the Region, including preparing minutes of meetings, power or attorneys, annual filings, supporting formation, merger and dissolution of legal entities, supporting corporate tax and finance departments on tax related reorganizations, dividends etc.


The Legal Entity Manager will be responsible for maintaining strong corporate governance and compliance with legal and regulatory corporate requirements across LATAM and management of Outside Counsels in the Region.


What will you do? (Responsibilities)

  • Act as legal entity manager for LATAM entities;
  • Collaboration to global corporate team on entity management system;
  • Support LATAM business on general Company Secretarial administrative matters;
  • Serve as central point of contact between outside service providers, legal team and internal stakeholders;
  • Assist in production of AGM, board & shareholder communications for a portfolio of legal entities;
  • Prepare, coordinate and supervise local regulatory filing submissions, including approvals;
  • Prepare and control all Power of Attorneys issued in the Region;
  • Maintain corporate panel directorship appointments, including preparation of associated documentation & reports;
  • Work with internal staff and external advisors to facilitate subsidiary formations, capital changes, dividend payments, reorganizations, and dissolutions;
  • Manage outside counsels for corporate matters in LATAM;
  • Coordination & consultation with business units, legal advisors, auditors, treasury, tax experts, service providers across multiple jurisdictions on matters of corporate governance and other complementary issues in LATAM.

How will you get here?

  • Fluent English is required (Speaking, Listening and Writing, including technical writing for contracts and notifications). Portuguese language skills are desirable;
  • Strong organizational, analytical and problemsolving skills;
  • Ability to effectively evaluate legal exposure, manage risk and develop solutions to maintain strong corporate governance and compliance;
  • Ability to work in a fastpaced environment with multiple competing deadlines, leveraging internal and external resources to meet multiple simultaneous deadlines;
  • Willingness to pitchin and help on legal projects across the organization;
  • Experience with entity management systems;
  • Excellent research, writing, counselling and communication skills and a positive client service Orientation;
  • Ability to work independently, as a team member, and across the organization;
  • Accountability, sound judgment, and the ability to take ownership of an issue and provide concise and timely advice High standards for Integrity and compliance
