- Draft, review, redline, and negotiate complex U.S.-governed commercial contracts, including SaaS/subscription agreements involving AI products and services, order forms, SOWs, MSAs, vendor/procurement agreements, NDAs, BAAs (HIPAA), and data processing agreements.
- Serve as the primary contracting resource for our high-growth clients, managing a steady pipeline of inbound and outbound agreements with minimal supervision.
- Analyze and respond to customer and vendor redlines, balancing legal risk with commercial objectives and escalating material issues appropriately.
- Maintain and improve contract templates, playbooks, and clause libraries.
- Interface directly with the client's business teams (sales, partnerships, procurement) to advise on contract terms, timing, and risk allocation.
- Track contract status, manage version control, and ensure timely execution across multiple concurrent deals.
- Support corporate governance and general corporate matters as needed, including board resolutions, equity documentation, and entity maintenance.
- Assist with special projects such as M&A diligence, fundraising document preparation, and regulatory compliance reviews.
- Minimum 6 years of relevant experience drafting and negotiating U.S. commercial agreements, with a substantial portion of that experience focused on technology/SaaS companies.
- U.S. legal education (J.D. from an ABA-accredited law school) and/or admission to a U.S. state bar, OR equivalent demonstrated expertise in U.S. commercial contract law gained through extensive hands-on practice.
- Deep familiarity with SaaS/subscription agreement structures, including usage-based pricing, SLA frameworks, limitation of liability, indemnification, IP ownership, and data protection provisions.
- Experience working with or for technology companies (SaaS, healthtech, fintech, or enterprise software). Startup or high-growth company experience is essential.
- Strong understanding of data privacy frameworks, and standard information security contract provisions.
- Proven ability to work independently, manage a high-volume contract pipeline, and exercise sound commercial judgment with minimal oversight.
- Excellent written and verbal English communication skills (native or near-native fluency required).
- Comfortable working in U.S. Eastern Time business hours or with significant overlap (minimum 6 hours).
- Highly skilled in the use of AI drafting and research tools.
- BigLaw experience at a top-tier U.S. or international firm, particularly in technology transactions, commercial contracts, or corporate/M&A practice groups.
- Experience with contract lifecycle management (CLM) tools, legal operations platforms, and document automation systems.
- Some experience with HIPAA governed products is highly desirable.
- Prior experience working in an outside general counsel or fractional legal team model.
- Experience with healthtech other regulated technology companies.
- Familiarity with U.S. corporate law, including Delaware entity governance, board mechanics, equity incentive plans, and venture financing (SAFEs, convertible notes, priced rounds).
- Admission to the New York, CA or other state bar or ability to obtain limited practice authorization.
- Top of the market compensation commensurate with experience, benchmarked to the top-end of the Mexico City legal market for U.S.-trained professionals.
- Performance based bonus and profit share arrangements.

About the Role
We are hiring a Senior Contracts Paralegal or Counsel based in Mexico City (preferable) or remote in Colombia to serve as the primary contracts resource for key clients. You will own the day-to-day drafting, review, and negotiation of complex U.S.-governed commercial agreements—primarily SaaS subscription agreements (involving use of AI health-tech products), BAAs, DPAs, vendor agreements, and enterprise contracts. You will also have the opportunity to work on general corporate work special projects for clients.
This is not an entry-level or support role. We need someone who can independently manage a contracting pipeline, interact directly with business stakeholders, and exercise sound legal and commercial judgment under time pressure and, to the extent the candidate is not admitted in a U.S. state, with the oversight and supervision of the firm's senior U.S. admitted attorneys. You will be embedded in the client's workflow and expected to operate with the speed, ownership, and practical mindset of in-house counsel.
